Acceptable Use Policy

1. General Conduct Expectations
When using ZuKeepr, you are expected to:
- Provide accurate, truthful, and current information about yourself, your family, or your daycare;
- Treat other users with respect and act in good faith;
- Use the Platform for its intended purpose: helping parents find and manage applications to licensed childcare providers, and facilitating childcare arrangements;
- Comply with all applicable laws and regulations;
- Protect the privacy and safety of children, families, and daycare staff.
2. Prohibited Conduct — All Users
The following activities are prohibited for all users of the Platform. This list is illustrative, not exhaustive — ZuKeepr may treat conduct similar in spirit to the listed prohibitions as a violation of this AUP.
2.1 Illegal Activity
- Using the Platform to engage in, facilitate, or promote any illegal activity;
- Trafficking in stolen, counterfeit, or otherwise unlawful goods or services;
- Money laundering, fraud, or tax evasion through Platform transactions;
- Engaging in conduct that constitutes child abuse, neglect, endangerment, or exploitation under applicable law;
- Violating any law applicable to the protection of children, including child labour law and childcare licensing law.
2.2 Harm to Children
- Posting, sharing, or distributing any content that sexualizes, exploits, or harms minors;
- Attempting to use the Platform to gain unsupervised access to children for any inappropriate purpose;
- Misrepresenting your identity or your relationship to a child in order to obtain access to that child's information or care arrangements;
- Disclosing identifying information about other people's children without authorization.
2.3 Harassment, Hate, and Threats
- Harassing, threatening, intimidating, stalking, or bullying any user or staff member;
- Hate speech or content that promotes violence or discrimination against individuals or groups based on race, ethnicity, national origin, religion, disability, sex, gender identity, sexual orientation, age, or family status;
- Incitement to violence or self-harm;
- Doxxing — publishing or threatening to publish another person's private information.
2.4 Misrepresentation and Fraud
- Creating an account using a false identity, fake business name, or stolen credentials;
- Misrepresenting your qualifications, licensing, registration, permit, or other authorization status;
- Posing as another person, daycare, or organization;
- Misrepresenting facts to obtain a refund, discount, or other benefit you are not entitled to;
- Creating duplicate or multiple accounts to evade restrictions, fees, or bans.
2.5 Sexual or Adult Content
- Posting, sharing, or distributing sexual, pornographic, or sexually suggestive content of any kind;
- Soliciting sexual contact through the Platform;
- Using the Platform to solicit, arrange, or promote adult services.
2.6 Spam, Solicitation, and Off-Platform Diversion
- Sending unsolicited bulk messages, advertising, or promotional material to other users;
- Using Platform messaging to solicit users for services unrelated to childcare arranged through ZuKeepr;
- Phishing, including impersonating ZuKeepr support to obtain credentials or payment information;
- Diverting Platform users to compete with ZuKeepr or to evade ZuKeepr's fees, including without limitation by arranging tuition or recurring care payments outside the Platform through any method (such as cash, cheque, money order, e-transfer, Interac e-transfer, Zelle, Venmo, PayPal, Cash App, other peer-to-peer or payment apps, ACH or wire transfer initiated outside the Platform, direct invoicing through your own accounting software for ZuKeepr-matched recurring care, or any other off-Platform mechanism).
2.7 Intellectual Property Violations
- Posting content that infringes another party's copyright, trademark, trade secret, or other intellectual property right;
- Using ZuKeepr's name, logo, or branding without permission, including in promotional materials, third-party listings, or competitor advertising;
- Reverse-engineering, decompiling, or otherwise attempting to extract the source code of the Platform.
2.8 Platform Abuse and Security
- Attempting to access accounts, data, or systems you are not authorized to access;
- Probing, scanning, or testing the vulnerability of the Platform or its infrastructure without authorization;
- Introducing viruses, malware, worms, or other malicious code to the Platform;
- Disrupting or interfering with the Platform's operation, including via denial-of-service attacks or excessive automated requests;
- Scraping, harvesting, or otherwise extracting data from the Platform by automated means, including using bots, scripts, headless browsers, or AI agents to collect listings, reviews, profiles, or other content (limited exceptions apply for accessibility tools and Platform-authorized integrations);
- Using the Platform's API or interfaces in a manner that exceeds documented limits or violates posted terms.
2.9 False or Manipulative Content
- Posting reviews, ratings, or testimonials that you know to be false or misleading;
- Offering, soliciting, or accepting payment or other consideration in exchange for reviews or ratings;
- Retaliating against any user for leaving a review or filing a report, including by terminating a child's enrollment in response to the review itself;
- Coordinating with others to manipulate ratings, search rankings, or visibility on the Platform.
2.10 Use of Artificial Intelligence and Automation
You may use AI-assisted tools to help draft listings, messages, or reviews on the Platform, provided the content remains truthful and reflects your actual experience, qualifications, or services. The following are prohibited:
- AI-generated content that fabricates experiences, credentials, or facts;
- AI-generated reviews of daycares you have not actually used through ZuKeepr;
- Using AI to mass-produce listings, messages, or applications in a way that does not reflect genuine intent.
3. Additional Rules for Parents
In addition to the rules in Section 2, parents agree to:
- Provide accurate information about themselves and their children;
- Confirm and maintain legal authority over each child whose information is shared, and update ZuKeepr promptly if that authority changes (for example, due to a custody order);
- Use the Platform's tools to communicate with daycares respectfully and in good faith;
- Not submit applications to daycares with no genuine intent to enroll;
- Not attempt to enroll a child whose care arrangements are subject to a custody or court order that you cannot legally vary;
- Not pressure or coerce daycares to accept off-Platform payment arrangements;
- Report safety concerns about a daycare's conduct, environment, or compliance to ZuKeepr and, where appropriate, to the applicable licensing or child protection authority.
4. Additional Rules for Daycares
In addition to the rules in Section 2, daycares agree to:
- Maintain valid licensing, registration, permit, or other applicable authorization at all times while listed on the Platform;
- Promptly notify ZuKeepr in writing within seventy-two (72) hours of becoming aware of any regulatory event affecting your operations, including: suspension, revocation, expiry, or non-renewal of your authorization; the initiation of an investigation by your licensing authority, child protection authority, or other regulator; the issuance of a citation, violation, deficiency notice, or corrective action plan; placement on probation, restriction, or conditional licensing; serious incident reviews; changes in ownership or control; changes in operating address; and staff eligibility issues, as set out in the Daycare Agreement §2.6;
- Provide truthful information about your facility, capacity, services, hours, pricing, and staff;
- Honour offers of enrollment you extend through the Platform once accepted, subject to your published policies;
- Process all tuition and recurring care fees for ZuKeepr-matched families through the Platform, as required by the Daycare Agreement;
- Treat parent and child information with appropriate confidentiality and security;
- Respond to parent inquiries through the Platform within a reasonable time;
- Not solicit reviews in exchange for discounts, gifts, or other consideration;
- Not retaliate against parents who leave reviews or file reports, including by terminating their child's enrollment in response to the review itself.
5. Reporting Violations
5.1 If you see content or conduct on the Platform that you believe violates this AUP, you can report it through the in-Platform reporting tools or by contacting support@zukeepr.com.
5.2 Please include enough detail for ZuKeepr to investigate: the user or content involved, a description of the violation, the date and time if known, and any supporting evidence.
5.3 ZuKeepr will acknowledge your report and investigate in good faith. Decisions about content and accounts are made in ZuKeepr's reasonable judgment. We will not always disclose the outcome of a report to the reporter, particularly where doing so would compromise privacy.
5.4 ZuKeepr does not tolerate retaliation against users who report suspected violations in good faith. Retaliation is itself a violation of this AUP.
6. Emergencies and Imminent Harm
6.1 If you believe a child is in immediate danger, contact local emergency services first. ZuKeepr is not an emergency service and cannot respond in real time.
6.2 After contacting emergency services, you may also report the situation to:
- Your local child protection authority (in Canada, the relevant provincial/territorial child protection service; in the United States, your state's child protective services agency or the Childhelp National Child Abuse Hotline);
- The relevant childcare licensing authority (in Texas, the Texas Health and Human Services Commission Child Care Regulation; in BC, the local Community Care Facilities Licensing office; and equivalent agencies in other jurisdictions);
- ZuKeepr at support@zukeepr.com, so we can take appropriate Platform-side action (such as suspending an account or preserving evidence).
6.3 Where required by law, ZuKeepr will cooperate with law enforcement, child protection authorities, and licensing authorities. ZuKeepr may also proactively cooperate where we believe in good faith that doing so is necessary to prevent imminent harm to a child or other person.
7. Enforcement
7.1 ZuKeepr may take any of the following actions when we determine, in our reasonable judgment, that this AUP has been violated:
- Warn the user;
- Remove or restrict access to specific content (posts, listings, reviews, messages);
- Restrict the user's ability to use specific features (e.g., messaging, applying, reviewing);
- Suspend the user's account temporarily;
- Permanently terminate the user's account;
- Ban the user, including the underlying legal entity and principals, from creating future accounts;
- Report the matter to law enforcement, child protection authorities, licensing authorities, or other regulators;
- Withhold pending payouts pending investigation, to the extent permitted by Stripe Connect terms;
- Pursue any other remedies available at law or in equity.
7.2 The action taken depends on the severity, frequency, and context of the violation, as well as the user's overall account history. Some violations — particularly those involving harm to children, fraud, or unauthorized operation — may result in immediate permanent termination without prior warning.
7.3 Account terminations under this AUP do not entitle the user to any refund of platform fees, premium subscription fees, promoted listing fees, or other amounts paid, except as required by law or as set out in the Refund Policy.
7.4 You may appeal an enforcement decision by writing to support@zukeepr.com within thirty (30) days of the action. ZuKeepr will review appeals in good faith but is not obligated to reverse decisions.
7.5 Record Preservation. During any investigation, dispute, regulatory matter, legal hold, child safety inquiry, or law enforcement matter, ZuKeepr reserves the right to preserve all records reasonably related to the matter, including messages, listings, payment records, support tickets, reports, account activity, and any other evidence. Such preservation may extend beyond the default retention periods set out in our Privacy Policy and may continue for as long as required by the matter.
8. Cooperation with Law Enforcement and Authorities
8.1 ZuKeepr will cooperate with law enforcement, child protection authorities, and childcare licensing authorities in response to valid legal process, court orders, or where we believe in good faith that disclosure is necessary to prevent imminent harm or to protect the safety of children or others.
8.2 Where permitted by law, ZuKeepr may also proactively disclose information to authorities if we become aware of conduct that suggests an immediate risk to the safety of a child or other person.
9. Updates to This AUP
ZuKeepr may update this AUP from time to time. Material changes will be communicated via email or in-app notice at least thirty (30) days before they take effect, unless an immediate change is required for legal, safety, or security reasons. Your continued use of the Platform after the effective date of an update constitutes acceptance of the updated AUP.
